Welcome to cadential. These terms govern your use of the cadential. platform at usecadential.com (the "Platform"), operated from Victoria, Australia. By using the Platform you agree to these terms.
The Platform is operated by Jack Harrington (sole trader), ABN 78 833 817 685.
1. What cadential. does
cadential. is a music licensing marketplace. Independent artists list their music; content creators purchase synchronisation licences to use that music in their own projects. When you buy a licence, the licence is between you (the licensee) and the artist (the licensor).
cadential. plays two roles. For payments, cadential. is the merchant of record: you pay cadential., cadential. collects the licence fee, and it pays the artist their share. For licensing, cadential. acts as the artist's agent: it grants the licence in the artist's name, under authority the artist has given it in their agreement with cadential.
2. Accounts and access
Browsing requires no account. Purchasing requires a valid email address, which we use to let you retrieve your licence later and to contact you about payment. You're responsible for the accuracy of the details you provide at checkout. The licence PDF names the entity you enter, and that's who holds the rights. To buy a licence you must be 18 or over, or have a parent's or guardian's permission. How we handle your details is set out in our Privacy Policy.
3. Licences
Every purchase generates a synchronisation licence as a PDF contract. The licence terms (use type, territory, term and exclusivity) are stated on the licence itself and in our Licence Terms. Unless stated otherwise on the licence, licences are non-exclusive, perpetual, and worldwide for the single project and use type purchased.
4. Pricing and payment
All prices are listed in Australian Dollars (AUD) and are shown in full before checkout. No GST is currently added to any price, and cadential. is not registered for GST. 80% of every licence fee is paid to the artist; cadential. retains 20% as a platform fee. Welcome offer: if you have a free account and are on our email list, your first licence is 10% off. The discount comes out of cadential.'s fee only, so the artist is still paid 80% of the full price; it is capped at our fee and at a 50 cent minimum charge, applies once per person, email address and account, is not available to guest checkouts, and is shown before you pay and on your receipt. Joining the list is optional, and we may end the offer at any time for licences not yet bought. You can pay by card at checkout, or ask for an invoice payable by bank transfer (useful for agencies and businesses that pay on invoice). Card payments are processed securely by Stripe, our payment processor; cadential. never sees or stores your card details. Your licence PDF is issued when you confirm, and the licence takes effect once payment is received. An invoice is due within 7 days of issue. For a content category the artist reviews case by case, the licence takes effect only once it is both paid and approved by the artist: a card payment is taken at checkout and refunded in full if the artist declines, and an invoice is instead due 7 days after the artist approves.
5. Refunds
You're entitled to a refund or remedy under Australian Consumer Law if a licence has a major failure, for example, it doesn't match what you selected, or the underlying music wasn't validly licensable. If your content category needs the artist's review and the artist declines it, or doesn't approve it within 5 business days, your licence doesn't take effect and we refund anything you've paid. You can also cancel a licence that hasn't taken effect yet and we'll refund anything you've paid. Once the licensed audio file has been released to you, we don't offer change-of-mind refunds. If something's gone wrong, email hello@usecadential.com and we'll make it right.
A refund goes back the way you paid: to your card through Stripe, or to your bank account if you paid an invoice by bank transfer. Card refunds can take several business days to reach your account, depending on your bank. When a licence is refunded, it no longer covers any use of the track.
Please contact us before disputing a card payment with your bank (a chargeback), so we can sort it out directly. While a dispute is open we may hold the licence. If a card payment is reversed through a chargeback, the licence is treated as unpaid and does not cover any use of the track unless the licence fee is paid again.
6. Acceptable use
You may not use licensed music in content that is unlawful, defamatory, or hateful; in content that suggests the artist endorses a product, service, political position, or cause without separate written consent; or in a standalone music product (e.g. re-releasing the track). The licence covers synchronisation with your content. It is not a transfer of ownership.
7. Artist content
Artists warrant that they own or control the rights to the music they list. If you believe content on the Platform infringes your rights, contact hello@usecadential.com with details and we'll investigate promptly.
If we receive a credible notice that a track infringes someone's rights, we may suspend it from sale while we investigate. Licences already paid for remain valid unless the track was not validly licensable, in which case we will refund you in full.
8. Liability
To the extent permitted by law, cadential.'s liability for any claim arising from the Platform is capped at the amount you paid for the relevant licence. Nothing in these terms excludes rights that cannot be excluded under Australian Consumer Law.
If you are a consumer and the licence is not of a kind ordinarily acquired for personal, domestic or household use, our liability for failing to meet a consumer guarantee is limited to supplying the licence again or paying for it to be supplied again. This cap does not apply to licences ordinarily acquired for personal use.
9. Changes
We may update these terms from time to time. Material changes will be flagged on this page with a new "last updated" date. We will email you about material changes to these terms at least 14 days before they apply. Licences already issued are governed by the terms in force when they were purchased.
10. Governing law
These terms are governed by the laws of Victoria, Australia. Disputes are subject to the exclusive jurisdiction of the courts of Victoria.
